Software Licence & Access Terms
The only way anyone may use HaulMetrix: our express consent plus a valid, paid subscription.
1. A licence is required for any use
HaulMetrix™-ERP is owned by Rephawk Pty Ltd, registration number [Company registration number], whose directors are CW Botha and EE Botha. It is licensed to customers, never sold.
Access to and use of the Software is permitted only where both of the following are in place at the same time: (a) our express written consent, and (b) a valid, current, paid subscription for the number of authorised users purchased.
No other licence is granted, whether expressly, by implication, by estoppel or otherwise. Holding access credentials, receiving a demonstration link, participating in a trial, or possessing any copy of any part of the Software does not grant you a licence.
2. What a subscription licence grants you
Subject to these terms and to payment of the applicable fees, we grant you a licence that is:
- non-exclusive — we remain free to license the Software to others;
- non-transferable and non-sublicensable — it may not be assigned, shared or passed on;
- limited to the number of authorised users you have purchased;
- restricted to your own internal business purposes; and
- revocable and valid only for the duration of your subscription term.
3. Authorised users
An authorised user is a named individual you nominate and who is issued credentials. Credentials are personal and must not be shared, and you are responsible for everything done under them.
You must reduce the number of authorised users to match your subscription, and notify us promptly when a user leaves your organisation so the credential can be deactivated.
4. Restrictions
The restrictions set out in our Copyright & Intellectual Property Notice form part of this licence. In particular, you may not copy the Software, use it without consent and a paid subscription, resell or sublicense it, or use it to build a competing product.
5. Confidentiality
The Software's source code, technical documentation, pricing, roadmap and any information marked or reasonably understood to be confidential is our confidential information. You may not disclose it to any third party, and you must protect it with at least the care you apply to your own confidential information.
6. Trials, demonstrations and evaluations
Any trial, demonstration or evaluation access is granted for a limited period, for evaluation only, and is subject to these terms. At the end of that period you must either take up a paid subscription or stop using the Software and destroy any copy in your possession.
We may withdraw trial access at any time without notice.
7. Monitoring and audit
We may monitor usage to verify that the Software is being used within your licence — for example the number of active users, API volume and feature access. If we reasonably suspect unauthorised use, we may require you to confirm in writing that you are compliant.
8. Suspension and termination of the licence
The licence ends automatically when your subscription ends. We may suspend or terminate it immediately if you breach these terms, fail to pay, use the Software unlawfully, or use it in a way that puts the platform or other customers at risk.
On termination you must stop using the Software and delete any copies you hold. We will make your data available for export for a reasonable period as described in the Terms of Service.
9. Consequences of unauthorised use
If you use, copy or distribute the Software without consent and a paid subscription, you are using it unlawfully. We may suspend access immediately, claim damages and the value of the subscription you avoided, and apply to court for an interdict. The conduct may also amount to a criminal offence under the Copyright Act 98 of 1978.
10. Reservation
All rights not expressly granted to you in writing are reserved to us.
