Who owns HaulMetrix, what is protected, and what nobody is permitted to do with it.

1. Ownership

The Software was conceived, commissioned, built and is operated by Rephawk Pty Ltd. Its directors are CW Botha and EE Botha. All ownership of, and all intellectual property rights in, the Software vest in Rephawk Pty Ltd.

No customer, user, driver, employee, contractor, integrator, distributor or other third party acquires any ownership, equity or intellectual property interest in the Software — or in any part of it — by using it, contributing to it, integrating with it or paying for it.

All rights are reserved. Nothing on this website, in the Software, or in any demonstration, trial or evaluation access transfers any ownership, title or intellectual property right to you or to any third party.

2. How copyright protects the Software

In South Africa a computer program is protected as a literary work under the Copyright Act 98 of 1978. Copyright arises automatically on creation — there is no registration requirement, and no certificate is needed for the right to exist or to be enforced.

Copyright in a computer program endures for 50 years from the end of the year in which the program was made available to the public or, if it was never made available to the public, from the end of the year in which it was made.

The exclusive rights of the copyright owner in a computer program include the right to reproduce it, to adapt or modify it, to publish it, to distribute or sell copies, to rent it, and to make it available to the public by any means.

3. What nobody is permitted to do

No person may do any of the following with the Software, in whole or in part, without our prior written consent:

  • copy, download, store, reproduce or mirror the Software or any part of it;
  • use, operate, access or run the Software without our express written consent and a valid, current, paid subscription;
  • modify, adapt, translate, port, repackage or create derivative works from it;
  • reverse engineer, decompile or disassemble it, or attempt to derive its source code or underlying structure, except to the extent that South African law does not permit this to be restricted;
  • resell, sublicense, rent, lease, lend, share, distribute or otherwise make it available to any third party, including as a service bureau, managed service or white-label offering;
  • remove, obscure or alter any copyright, trade mark, attribution or other proprietary notice;
  • scrape, crawl, harvest or bulk-extract data or content from the Software by automated means;
  • use the Software, or access to it, to develop, train or benchmark a competing product or service;
  • circumvent, disable or defeat any licence check, access control, usage limit or technical protection measure.

4. Trade marks and brand

HaulMetrix™, HaulMetrix™-ERP, the HaulMetrix logo, Emma-i and the associated get-up are our trade marks. No right or licence to use them is granted, and they may not be used in a way that suggests endorsement, partnership or affiliation without our written permission.

All other trade marks referenced in the Software belong to their respective owners and are used for identification only.

5. Third-party components

The Software incorporates open-source and third-party components that are licensed to us under their own terms. Those terms govern your use of those components and nothing in this notice is intended to restrict rights granted to you directly by their licensors.

6. Reporting infringement

If you believe your work has been copied, or that the Software is being used or distributed without consent, please contact us at [legal@yourdomain.co.za] with details of the material concerned and the basis of your claim.

7. Enforcement

Unauthorised copying, dealing in or use of the Software is a material breach of these terms. We reserve the right to take any step available to us, including suspending or terminating access, claiming damages, and applying for an interdict.

Copyright infringement may also constitute a criminal offence under the Copyright Act 98 of 1978, which provides for fines and imprisonment.
